Background:

Préambule:

The Supplier wishes to appoint the Distributor as the Supplier’s Distributor in the Territory of France for the resale of certain of the Goods manufactured and supplied by the Supplier, details of which are set out by present contract and the Distributor is willing to accept such an appointment, on the terms of this contract.

Le Fournisseur souhaite désigner le Distributeur en qualité de Distributeur du Fournisseur sur le territoire français pour la revente des produits manufacturés et fournis par le Fournisseur, dont les caractéristiques sont détaillées dans le présent contrat et le Distributeur est disposé à accepter une telle désignation conformément aux conditions du présent contrat.

Operative provisions

Article 1: Appointment of the Distributor

Désignation du Distributeur

1.1. The Supplier appoints the Distributor as the Supplier’s Distributor for the resale of the Goods in the Territory of France during the period of this contract (the “Term”), subject to the following provisions.

Le Fournisseur désigne le Distributeur en qualité de Distributeur du Fournisseur pour la revente de Marchandises sur le territoire français pendant la durée du présent contrat (la “durée”) conformément aux dispositions suivantes.

1.2. The appointment of the Distributor is non-exclusive. The Distributor shall not Seek customers or actively market any of the Goods outside the Territory.

La désignation du Distributeur est non exclusive. Le Distributeur ne recherche de la clientèle ou ne commercialise activement aucune des Marchandises en dehors du territoire.

1.3. The Distributor:

1.3.1 Shall have Physical point of sale and shall sell the goods in stores

1.3.2 can sell the Goods ONLY by its own website or any other similar electronic means, to customers in the Territory.

1.3.3 Shall display the authorization letter of sale issued by the Supplier on its own website. The goods displayed on the website shall be watermarked with the “authorization and authorization number “

1.3.4 Shall not sell the goods via internet or any other similar electronic means, to customers by any other’s websites, including but not limit to use third-party’s platforms to distribute the goods in the Territory.

1.3.5 shall not sell any of the Goods through a sales’ agent or to a sub-Distributor in the Territory without the prior written consent of the Supplier.

Le Distributeur :

- Doit avoir un point de vente physique et Doit vendre les marchandises dans les magasins

- Le Distributeur ne peut vendre les Marchandises que sur son propre site internet ou tout autre moyen électronique similaire, aux Clients à l’intérieur du territoire.

- Affiche la lettre d'autorisation de vente émise par le Fournisseur sur son propre site Internet. Les marchandises affichées sur le site Web doivent être filigranées avec « l’autorisation ainsi que le numéro de l’autorisation »

- Ne peut pas vendre les marchandises aux clients via sites Web ou tout autre moyen électronique similaire de tiers sur le territoire, y compris, mais sans s'y limiter, l'utilisation de plates-formes tierces pour distribuer les marchandises (Marketplace)

- Ne peut vendre aucune des Marchandises par l’intermédiaire d’un agent commercial ou à un sous-Distributeur sur le territoire sans le consentement écrit préalable du Fournisseur

Article 2: Supply of the Goods

2.1. During The Term, the Supplier shall sell and the Distributor shall purchase the Goods ordered by the Distributor for resale, subject to the Terms of this contract.

Pendant la durée du présent contrat, le Fournisseur vend et le Distributeur achète les Marchandises commandées par le Distributeur pour la revente, conformément aux conditions du présent contrat.

2.2. The Goods to be sold with CIARRA Brand offered by supplier. The specification of Goods as set out by the products list displayed on the website of supplier https://ciarra.store

Les produits à vendre sous la marque CIARRA seront fournis par le fournisseur“ Les caractéristiques des Marchandises sont définies par la liste des produits affichées sur le site internet https://ciarra.store du Fournisseur

2.3. The Supplier shall deliver in his own charge 4 samples of the Goods to Distributor so that the distributors can demonstrate the goods in their stores.

Le Fournisseur doit livrer à sa charge 4 échantillons au Distributeur afin qu’il puisse les démontrer dans le magasin.

2.4. The Supplier reserves the right to make any change in the specification of the Goods that is necessary in order for them to conform with any applicable laws, provided the Supplier promptly informs the Distributor in writing of any such change that it proposes to make.

Le Fournisseur se réserve le droit d’apporter à ces caractéristiques des Marchandises des modifications nécessaires pour rendre les Marchandises conformes aux lois applicables, à condition que le Distributeur soit immédiatement informé, par écrit, des modifications que le Fournisseur se propose de faire.

Article 3 : Procedure for ordering the Goods

3.1. Once the contract has taken effect, the Supplier shall create a “special account” for the Distributor on its website After confirmation of each order between the Distributor and consumer, the Distributor shall order the goods via the website https://ciarra.store by using this account.

Une fois que le contrat est entré en vigueur, le Fournisseur créera un « compte spécial » pour le Distributeur sur son site Internet https://ciarra.store Après confirmation de chaque commande entre le Distributeur et le consommateur, le Distributeur commandera la marchandise via le site Internet https://ciarra.store en utilisant ce compte.

3.2. The account is created for the Distributor with special discount. The Distributor shall never disclose the discount information defined by this account to any of consumers.

Le compte est créé pour le distributeur avec une remise spéciale. Le Distributeur ne divulguera jamais les informations de remise définies par ce compte à aucun des consommateurs.

3.3. The Supplier shall use its reasonable commercial endeavours to deliver the Goods on the estimated delivery date for each order. The Supplier shall have no liability for any delay in delivery of the Goods that is due to any failure by the Distributor to provide any required information in good time”.

Le Fournisseur doit utiliser tous ses moyens raisonnables pour livrer les Marchandises à la date envisagée pour la livraison de chaque commande. Le Fournisseur n’assume aucune responsabilité pour tout retard dans la livraison de Marchandises provoqué par la défaillance du Distributeur à fournir toute information demandée en temps utile.

3.4. The Supplier shall use its reasonable commercial endeavours to manufacture and maintain sufficient stocks of the Goods to fulfil its obligations under this contract, but may discontinue the manufacture of all or any of the Goods, in which case the Supplier will give the Distributor thirty (30) days notice in writing of the discontinuation, and the Supplier shall fulfil all outstanding orders for the Goods in question which are placed by the Distributor before the date of the notice.

Le Fournisseur fait tous ses efforts raisonnables pour fabriquer et maintenir des stocks suffisants de Marchandises afin de satisfaire à ses obligations nées du présent contrat, mais il peut cesser la fabrication de tout ou partie des Marchandises, auquel cas le Fournisseur adressera au Distributeur un préavis écrit de trente (30) jours annonçant la cessation de fabrication, tout en restant tenu de livrer les commandes passées par le Distributeur avant la date du préavis.

3.5. If the Distributor’s orders for the Goods exceed or it appears from any estimate or revised estimate given by the Distributor that they will exceed available stocks of the Supplier in Europe, the Supplier shall as soon as practicable notify the Distributor and arrange the supply of the Goods.

Si les commandes de Marchandises du Distributeur dépassent ou s’il apparaît en partant de l’estimation ou de l’estimation révisée du Distributeur qu’elles dépassent les stocks disponibles du Fournisseur en Europe, le Fournisseur en informera le Distributeur le plus tôt possible et organisera la fourniture des Marchandises .

Article 4 : Price of the Goods

4.1. Except as otherwise agreed in writing between the Supplier and the Distributor, the prices for all Goods to be supplied under this contract shall be the Supplier’s list prices reviewed from time to time.

Sauf accord écrit contraire entre le Fournisseur et le Distributeur, les prix de toutes les Marchandises destinées à être livrées, en vertu du présent contrat, sont établis conformément aux tarifs du Fournisseur révisés périodiquement.

4.2. The Supplier reserves the right to increase the price of the Goods but shall:

- Supply the Distributor with copies of the Supplier’s price lists for the Goods in force from time to time. And

- Give the Distributor not less than thirty (30) days notice in writing of any alteration in those prices, and the prices as so altered shall apply to all Goods ordered after the applicable date of the increase.

Le Fournisseur se réserve le droit d’augmenter le prix des Marchandises, mais, doit :

- Remettre au Distributeur les listes de prix des Marchandises établies périodiquement du Fournisseur; et

- informer le Distributeur, par écrit, au moins trente (30) jours avant, de toute modification de prix et les prix ainsi modifiés s’appliquent à toutes les Marchandises commandées après la date d’entrée en vigueur de l’augmentation.

4.3. The prices of the Goods are (exclusive/inclusive) of any applicable value added tax or similar tax, for which the (Supplier/Distributor) shall be liable in addition to the price.

Les prix des Marchandises (incluent/excluent) la taxe à la Valeur ajoutée (tva) ou un impôt similaire dont le (Fournisseur/Distributeur ) est redevable.

The Supplier agrees to deliver the Goods within France, the price is inclusive of the charges for transport, packaging and insurance up to the point of delivery, for which the Supplier shall be liable in addition to the price.

le Fournisseur s’engage à livrer les Marchandises en France, le prix inclut le coût du transport, l’emballage et l’assurance jusqu’au point de livraison, frais dont le Fournisseur reste redevable.

Article 5 : Payment

Paiement

5.1. The Distributor shall pay the invoice according to agreed payment timline stated as below.

Le distributeur doit payer les factures en respectant l'échéance de paiement indiquée ci-dessous.

The payment timeline of the Distributor shall be as follow:

- The Orders from the 11^th to 24^th of each month must be paid on or before the last day of the month.

- The Orders from the 25^th to 10^th of the previous month must be paid on or before the 15^th of the current month

Le calendrier de paiement du Distributeur sera le suivant :

- Les Commandes confirmées du 11 au 24 de chaque mois doivent être payés au plus tard le dernier jour du mois.

- Les Commandes confirmées du 25 du mois précédent au 10 du mois en cours doivent être payés au plus tard le 15 du mois en cours

5.2. If the Distributor can’t pay the price of goods on time defined under the article 5.1, the Supplier shall have the right to:

- Suspend the distribution contract immediately

- Send the reminder (including but not limited by email) of payment to the Distributor. If the payment is not paid in 15 days after the receipt of the reminder, the Distributor shall bear the late payment penalties which are calculated as follow:

(Price of Goods x Applicable rate) x (number of days late / 365) +100 euros of fees for recovery of each late payment

- Suspendreimmédiatement le contrat de distribution

- Envoyer un rappel (y compris mais sans s'y limiter par email) de paiement au Distributeur. Si le paiement n'est pas effectué dans 15 jours après avoir reçu le rappel, le Distributeur supportera les pénalités de retard qui sont calculées comme suit :

(Prix de marchandise x taux applicable) x (nombre de jours de retards/365).) +100 euros de frais de recouvrement de chaque retard de paiement

- Send its Commercial Agency (MKZ) in France to the Distributor’s stores to ask and/or collect the late payment with the penalties.

- Envoyer son Agence Commerciale (MKZ) en France dans les magasins du Distributeur pour demander et/ou encaisser le retard de paiement avec les pénalités.

- After reminder, each payment delay more than 15 days bring cancellation of the contract

- Après rappel, tout retard de paiement supérieur à 15 jours entrainera la résiliation du contrat.

Article 6 : Warranties relating to the Goods

Garanties relatives à la marchandise

6.1. Subject to the following provisions, the Supplier warrants to the Distributor that:

Sous réserve des dispositions prévues ci-après, le Fournisseur garantit au Distributeur que :

6.1.1. The Supplier has valid title to the Goods supplied under this contract,

Le Fournisseur a un titre valable sur les Marchandises livrées en vertu du présent contrat;

6.1.2. The importation of the Goods and the resale of the Goods will not infringe the patent, design, copyright, Trademark or other Intellectual Property rights of any other person,

L’importation des Marchandises et la revente de Marchandises ne porteront pas atteinte au brevet, au dessin, au droit d’auteur, aux marques ou aux autres droits de propriété intellectuelle d’un tiers

6.1.3. The supplier shall furnish to the Distributor the Supplier’s standard warranties of two years regarding the goods from the date of delivery.

Le fournisseur fournira au Distributeur les garanties standards du Fournisseur de deux ans concernant les marchandises à compter de la date de livraison.

6.1. During the period of the warranties under Article 6.1.3,the Supplier’s shall be limited to:

Provide the parts of the product to distributor so that the distributor can arrange the repairment of product in question. If the repairment is impossible, supplier shall provide the new product so that the distributor can replace the goods in question.

Pendant la période de garantie sous l’article 6.1.3, la responsabilité du Fournisseur est limitée à:

- Fournir les pièces du produit au distributeur afin qu’il puisse organiser la réparation du produit en question. Si la réparation est impossible, le fournisseur doit fournir le nouveau produit afin que le distributeur puisse remplacer le produit en question.

6.2. The Supplier shall be under no liability in respect of any defect in the Goods arising from fair wear and tear, or any wilful damage, negligence, subjection to abnormal working conditions, failure to follow the Supplier’s written instructions, misuse or alteration or repair of the Goods without the Supplier’s approval, or any other act or omission on the part of the Distributor, its employees or agents or any third party.

le Fournisseur n’assume aucune responsabilité pour tout défaut de Marchandises résultant de l’usure normale ou de tout dégât intentionnel, d’une négligence, d’un usage anormal, d’un non-respect des instructions écrites du Fournisseur, d’une utilisation abusive ou d’une altération ou d’une réparation des Marchandises sans l’approbation du Fournisseur ou de tout autre acte ou omission de la part du Distributeur, de ses salariés ou de ses agents ou d’un tiers.

Article 7 : Distribution of the Goods and commission

7.1. The Distributor shall use its reasonable commercial endeavours to distribute the sale of the Goods in accordance with a Business Plan for the marketing and sale of the Goods (the “Business Plan”) as agreed as follow:

Le Distributeur fait tous ses efforts pour distribuer les Marchandises conformément au Business plan relatif à la commercialisation et à la vente de Marchandises (le “Business plan”) convenu comme suit :

- Each year, the sales target is corresponding to the sales of 100 Goods which excluding the accessories of these goods, for example, and not limit to charcoal filter or active carbon.

- Each year, the distributor shall complete at least 90% of sales target.

- Chaque année, l'objectif de vente correspond aux ventes de 100 Produits, mais les accessoires de ces produits sont exclus, par exemple, et ne se limite pas au filtre à charbon ou au charbon actif.

- Chaque année, le distributeur doit réaliser au moins 90 % de l'objectif de vente.

7.2. This business plan defined under Article 7.1 shall be acriteria in consideration of renewal and termination of contract. If the Distributor didn’t complete the business plan under article 7.1, the Supplier has right to decide to not renewal or terminate the present contract.

Ce plan d'affaires défini à l'article 7.1 sera un critère de reconduction et de résiliation du contrat. Si le Distributeur n'a pas réalisé le plan d'affaires en vertu de l'article 7.1, le Fournisseur pourra décider de ne pas renouveler ou de résilier le présent contrat.

7.3. Distributor ‘s commission:

Commission du distributeur

7.3.1. Throughout the duration of this contract, the Supplier shall pay a fix commission of 12% of price of sold products. The commission shall be directly deducted on products quotation of store back office.

Pendant toute la durée du présent contrat, le Fournisseur paiera au Distributeur une commission fixe de 12% du prix des produits vendus. La commission est déduite directement sur le prix des produits du back office du magasin.

7.3.2. The Distributor provides the installation services in relation to the distributed Goods, with a reasonable price for the consumers, the supplier shall pay the installation services fees to Distributor which shall be 1% of price of sold products...

Le Distributeur fournit les services d'installation relatifs aux Biens distribués, à un prix raisonnable pour les consommateurs, le fournisseur doit payer au distributeur les frais de services qui correspondent à 1% du prix du produit commercialisé.

The Distributor provides an aftersales and maintenance service for customers in relation to the distributed Goods, the supplier shall pay these services fees to Distributor which shall be 3% of price of sold products.

Le Distributeur fournit le service aprèsvente et la maintenance aux clients pour les Biens distribués, le fournisseur doit payer au distributeur les frais desdites services qui correspondent à 3% du prix du produit commercialisé.

7.3.3. The Supplier shall pay the distributor from 2% to 5%commissions each month for the sales of goods made within the territory throughout the duration of this contract. The detail shall refer to the following.

- 2% if sold ³ 5 products /month

- 3% if sold ³ 10 products /month

- 4% if sold ³ 20 products/month

- 5% if sold ³ 30 products/month

Le Fournisseur versera au distributeur des commissions de 2 % à 5 % chaque mois pour les ventes de biens réalisées sur le territoire pendant toute la durée du présent contrat. Le détail doit se référer à ce qui suit :

- 2% si³ 5 produits vendus/mois

- 3% si³ 10 produits vendus/mois

- 4% si³ 20 produits vendus/mois

- 5% si³ 30 produits vendus/mois

7.4. The goods under article 7.3.3 shall not include accessories of these goods, for example, and not limit to charcoal filter or active carbon.

Les marchandises visées à l'article 7.3.3 ne comprendront pas les accessoires de ces marchandises, par exemple, et ne se limiteront pas au filtre à charbon ou au charbon actif.

7.5. The distributor can consult his calculated commission by the website xxx. In case of any doute or opposition regarding the commission showed on the website, the distributor can send his claim to the website manager by email. upon receipt of the claim, AISHENG check the claim with his commercial agency in France. If there exists mistake regarding the calculated commission, the parties shall make necessary correction accordingly.

Le distributeur peut consulter sa commission calculée par le site xxx. En cas de doute ou d'opposition concernant la commission affichée sur le site, le distributeur peut adresser sa réclamation au responsable du site par email. A la réception de la réclamation, AISHENG vérifiera celle-ci auprès de son agence commerciale en France. En cas d'erreur concernant la commission calculée, les parties apporteront les corrections nécessaires.

The commission is calculated on the net amount of the sale of each month, and on the basis of the orders of in which the period of 14 days of customers’ withdrawal rights has been passed.

La commission est calculée sur le montant net de la vente de chaque mois, et sur la base des commandes dont le délai de 14 jours de droit de rétractation des clients a été écoulé.

7.6. Considering the right of withdraw of the customers In France, to prevent the returns by customs which may happen and eventually generate no turnover to the Supplier. During the 14 days of withdrawal rights of customers,if the order in which anyreturn of goods happens, the order shall not be calculated into the commission.

Considérant le droit de rétractation des clients en France, pour éviter les retours qui pourraient arriver et éventuellement ne générer aucun chiffre d'affaires pour le Fournisseur. Pendant les 14 jours de droit de rétractation des clients, si la commande dans laquelle le retour de marchandise se produit, cette commande ne sera pas comptabilisée dans la commission

7.7. The amount of the commission and services fees of each month shall be paid by the coupon of the Supplier which can be used by the Distributor when passing the order via the website

Le montant de la commission sur les frais des services (Art. 7.3.2) et sur les quantités vendues chaque mois (Art. 7.3.3) sera payé par un code remise du Fournisseur qui pourra être utilisé par le Distributeur lors du passage d’une commande via le website.

Article 8.Support and training

Assistance et formation

8.1. The Supplier shall from time to time provide the Distributor free of charge with eversion brochures, catalogues, manuals, video and up to date promotional and advertising information concerning the Goods as the Supplier may consider appropriate or as the Distributor may reasonably request, in order to assist the Distributor with the sale of the Goods in the Territory.

Le Fournisseur fournit périodiquement au Distributeur sans frais des brochures, catalogues, notices électroniques, vidéos et informations promotionnelles et publicitaires mises à jour concernant les Marchandises, que le Fournisseur jugera utiles ou que le Distributeur peut raisonnablement demander, afin d’aider le Distributeur à vendre les Marchandises sur le territoire.

8.2. After signed the contract, the Supplier shall provide the letter of authorization with the authorization number to Distributor so that the distributor may display it on its own website defined by article 1.3.3.

Après la signature du contrat, le Fournisseur fournira la lettre d'autorisation avec le numéro d'autorisation au Distributeur afin que celuici puisse l'afficher sur son propre site Internet défini par l'article 1.3.3.

8.3. The Supplier shall endeavour to answer as soon as practicable any technical enquiries concerning the Goods which are made by the Distributor or its customers, and provide the Distributor with support in dealing with any defective Goods.

le Fournisseur s’efforce de répondre dès que possible aux questions techniques, concernant les Marchandises, du Distributeur ou de ses clients et apporte au Distributeur son assistance pour régler les difficultés posées par des Marchandises défectueuses.

8.4. The supplier shall pay the environment fees which are applicable under the local law where the stores are placed.

Le fournisseur paiera les redevances environnementales qui sont applicables en vertu de la législation locale où sont situés les magasins.

Article 9. Intellectual property

Propriété Intellectuelle

9.1. The Supplier grants to the Distributor the nonexclusive right to use in the Territory in relation to the promotion, marketing and sale of the Goodshe “CIARRA” Trademarks owned by Airwin Group HK Limited (Hereafter referred to as: Airwin), details of which are given in Annex Aand any other Trademarks used by the Supplier in relation to the Goods at any time during the Term which are notified in writing to the Distributor (the “Trademarks”) and any patent, copyright, design right or other Intellectual Property rights (“Intellectual Property”) of the Supplier,to the extent necessary for the purposes of exercising its rights and performing its obligations under this contract.

Le Fournisseur accorde au Distributeur le droit non-exclusif d’utiliser sur le territoire les marques « CIARRA » du Airwin Group HK Limited (ciaprès dénommée : Airwin) indiquées à l’annexe B et toutes autres marques utilisées par le fournisseur pendant la durée du contrat en relation avec les Marchandises qui sont notifiées par écrit au Distributeur (les “Marques”) ainsi que les brevets, les œuvres protégées par le droit d’auteur, les dessins et modèles ou autres objets de propriété intellectuelle (“Propriété Intellectuelle”) du Fournisseurpour la promotion, la commercialisation et la vente des Marchandises, dans la mesure nécessaire pour l’exercice de ses droits et l’exécution de ses obligations résultant du présent contrat.

9.2. The Distributor shall ensure that each reference to and use of any of the “Trademarks” by the Distributor in relation to the Goods in any advertising or marketing material or otherwise is in a manner from time to time approved by the Supplier and accompanied by an acknowledgement, in a form approved by the Supplier, that it is a Trademark (or registered Trademark) of the Airwin or Supplier.

Le Distributeur veille à ce que chaque référence et chaque utilisation de l’une des “marques” par le Distributeur, en relation avec les Marchandises, dans un document publicitaire ou commercial ou autre, soit conforme à la forme approuvée périodiquement par le Fournisseur et soit assortie d’une mention approuvée par le Fournisseur, indiquant que la marque (ou marque déposée) appartient au Fournisseur ou Airwin

9.3. The Distributor shall not:

- Modify the Goods or their packaging, except to the extent that this is required in accordance with applicable law;

- Alter or remove from the Goods any of the Trademarks, or the numbers or other means of identification used on or in relation to the Goods;

- Use any of the Trademarks in any way which might prejudice their distinctiveness or validity or the goodwill of the Supplier or Airwin;

- Use in relation to the Goods any Trademarks other than the Trademarks of Supplier or Airwin without obtaining the prior written consent of the Supplier

- Use in the Territory any Trademarks or trade names which so resemble any of the Trademarks of Supplier or Airwin as to be likely to cause confusion or deception;

- Use any of the Trademarks of Supplier or Airwin as part of the Distributor's corporate or business name; or

- Apply for or register as a Trademark or as a domain name in the Territory or elsewhere any name or mark which is the same as or similar to any of the Trademarks or any domain name of the Supplier or Airwin.If the Distributor applies for or registers any Trademark or domain name in breach of this Article, it shall hold the benefit of the application or the registration on trust for the Supplier or Airwin and ‚ transfer it to the Supplier or Airwin on demand.

Le Distributeur :

- ne modifie pas les Marchandises ou leur emballage sauf dans la mesure requise par les lois applicables;

- ne change ni n’efface des Marchandises aucune des marques, aucun des numéros ou autres moyens d’identification des Marchandises;

- n’utilise aucune des marques d’une manière qui pourrait porter préjudice à leur caractère distinctif, à leur validité ou à la réputation du Fournisseur ou Airwin;

- n’utilise en relation avec les Marchandises aucune autre marque que les marques (du Fournisseur ou Airwin) sans avoir obtenu l’accord préalable écrit du Fournisseur ou Airwin;

- n’utilise pas sur le territoire, des marques ou des noms commerciaux similaires à l’une des marques (du Fournisseur ou Airwin) au point d’être susceptibles de créer une confusion ou une tromperie;

- n’utilise aucune des marques (du Fournisseur ou Airwin) pour sa propre dénomination sociale ou commerciale; ou

- ne dépose ni n’enregistre comme sa marque ou son nom de domaine, sur le territoire ou ailleurs, un nom ou une marque qui est identique ou similaire à l’une des marques ou au nom de domaine du Fournisseur ou Airwin; mais si le Distributeur dépose ou enregistre une marque ou un nom de domaine en violation du présent article, il doit garder l’avantage du dépôt ou de l’enregistrement pour le compte du Fournisseur ou Airwin et le transférer au Fournisseur ou airwin à la demande de ces derniers.

9.4. Except as provided in this contract, the Distributor shall have no rights in respect of any trade names or Trademarks used by the Supplier or Airwin in relation to the Goods or of the goodwill associated with them, or any other Intellectual Property of the Supplier or Airwin in respect of the Goods.

Sauf disposition contraire du présent contrat, le Distributeur n’a aucun droit sur les noms commerciaux ou les marques utilisés par le Fournisseur ou Airwin pour ses Marchandises ou sur la réputation associée à ces dernières ou sur toute propriété intellectuelle relative aux Marchandises appartenant au Fournisseur ou Airwin.

9.5. The Distributor shall not do or authorize any third party to do any act which would or might invalidate or be inconsistent with any of the Trademarks or any other Intellectual Property of the Supplier or Airwin or their licensor in respect of the Goods.

Le Distributeur ne fait pas ou n’autorise pas un tiers à accomplir des actes qui pourraient invalider ou qui pourraient être incompatibles avec les marques ou avec toute autre propriété intellectuelle du Fournisseur ou Airwin et avec leurs licenciés concernant les Marchandises.

9.6. The Distributor shall promptly and fully notify the Supplier of any actual, threatened or suspected infringement in the Territory of any of the Trademarks or any other Intellectual Property of the Supplier or Airwin in respect of the Goods which comes to the Distributor’s notice, and of any claim or threatened claim by any third party that the importation of the Goods into the Territory, or their sale in the Territory, infringes the Trademark or other Intellectual Property rights of any other person.

Le Distributeur informe immédiatement et complétement le Fournisseur de toute contrefaçon, actuelle, potentielle ou suspectée sur le territoire de l’une des marques ou de toute autre propriété́ intellectuelle du Fournisseur ou Airwin concernant les Marchandises, de tous agissements qui ont retenu son attention, et de toute réclamation ou menace de réclamation d’un tiers soutenant que l’importation des Marchandises sur le territoire ou leur vente sur le territoire porte atteinte à la marque ou à d’autres droits de propriété intellectuelle d’une autre personne.

9.7. In the event of any such infringement or claim, the Supplier or Airwin shall have sole control over any proceedings or negotiations in connection with the infringement or claim

En cas de contrefaçon ou de réclamation, le Fournisseur ou Airwin aura le contrôle exclusif de toute procédure ou négociation en rapport avec l'infraction ou la réclamation

Article 10. Confidentiality

Confidentialité

10.1. Theparties understand and acknowledge that, by virtue of this contract, they may both receive or become aware of information belonging or relating to the other party, its business, Business Plans, affairs or activities, which information is confidential and proprietary to the other party and/or its Suppliers and/or customers and in respect of which they are bound by a strict duty of confidence (“Confidential Information”).

les Parties comprennent et reconnaissent, en vertu du présent contrat, que chacune d’elles peut recevoir ou connaître la technologie et les informations appartenant ou relatives à l’autre partie, à son entreprise, à ses business plans, à ses affaires ou à ses activités, à des informations confidentielles appartenant à l’autre partie et/ou à ses Fournisseurs et/ou à ses Clients et à propos desquelles les Parties sont liées par une obligation stricte de confidentialité (“Information confidentielle”).

10.2. In consideration of such Confidential Information being disclosed or otherwise made available to either party for the purposes of the performance of this contract, each party undertakes that it will not at any time, either before or after the termination of the present contract, and either directly or indirectly, disclose, divulge or make unauthorized use of any Confidential Information, except to the extent to which such confidential information:

- Is publicly known at the time of its disclosure or being made available to it;

- After such disclosure or being made available to them, becomes publicly known otherwise than through a breach of this provision;

- Is required by law, regulation or order of a competent authority (including any regulatory or governmental body or securities exchange) to be disclosed by the party in question, provided that, where practicable, the other party is given reasonable advance notice of the intended disclosure.

Compte tenu de la divulgation ou de la mise à disposition de telles informations confidentielles à l’une et à l’autre partie aux fins de l’exécution du présent contrat, les deux Parties s’engagent à ne pas communiquer, à ne pas divulguer ou à ne pas utiliser sans autorisation des informations confidentielles, avant ou après la résiliation du présent contrat, directement ou indirectement, sauf dans la mesure où de telles informations confidentielles :

- Sont dans le domaine public lors de leur divulgation aux Parties ou de leur mise à disposition;

- Après une telle divulgation ou mise à disposition, sont tombées dans le domaine public autrement qu’à la suite d’une violation de cette disposition;

- Sont divulguées par application d’une loi, d’un règlement ou d’une ordonnance d’une autorité compétente (y compris d’un organisme régulateur ou gouvernemental ou d’une autorité boursière) qui oblige l’une des Parties à les divulguer, à condition que, lorsque cela est possible, l’autre partie ait reçu une notification dans un délai raisonnable avant la divulgation prévue.

10.3. Upon the earlier of a request from the other party or the termination of this contract, each party shall return to the other or destroy all documents or records in any medium or format containing any Confidential Information which are in its possession or control and shall not retain any copies of them.

À la première demande de l’autre partie ou en cas de résiliation du présent contrat, chaque partie restitue à l’autre partie ou détruit tous les documents ou dossiers sur tous supports ou formats contenant des informations confidentielles qui sont en sa possession ou sous son contrôle et n’en conserve pas de copies.

10.4. The provisions of this Article 10 shall continue without limit of time, notwithstanding the termination of this contract for any reason.

Les dispositions du présent article 10 s’appliquent sans limitation de durée malgré la résiliation du présent contrat pour quelque raison que ce soit.

Article 11. No work agreement

Non Contrat de Travail

The Parties are independent professionals which will always act as such. This Agreement shall not in any way constitute a work agreement, since the Parties expressly refuse any employment relationship as an essential condition without which they would not have entered into this Agreement.

Les Parties sont des professionnels indépendants l’un de l’autre qui agiront toujours comme tels. Les présentes ne constituent en aucun cas un contrat de travail, toute relation de salariat étant expressément exclues par les Parties, à titre de condition essentielle sans laquelle les Parties n'auraient pas conclu le présent Contrat.

Article 12. Duration and termination

Durée, résiliation

12.1. The present contract shall enter into force at the date of the latest signature and shall continue for the period of one (1) year. It can be renewed every one (1) year.

The renewal of the contract shall be made expressly by two parties and by sending a written notice (including by email) to other party before Thirty (30) days of the expiration date of the contract.

A tacit shall not renew automatically the present contract.

Le présent contrat entre en vigueur à la date de la dernière signature et se poursuit pour une durée déterminée de un (1) an . Il peut être renouvelé tous les un (1) ans.

Le renouvellement du contrat devra avoir été fait expressément par deux parties et par l'envoi d'un avis écrit (y compris par courrier électronique) à l'autre partie 30 jours avant la date d'expiration du contrat.

Une tacite reconduction ne renouvellera pas automatiquement le présent contrat.

12.2. Each party may terminate this contract with immediate effect by written notice in case of:

- A substantial breach by the other party of its obligations which could be qualified as gross negligence or wilful misconduct,

- Exceptional circumstances beyond the control of the Parties, which render the continuation of this contract impossible,

- Failure to remedy to any other breach by the other party of its obligations under this contract, after thirty (30) days written notice to remedy to such breach.

Chaque partie peut résilier le présent contrat avec effet immédiat par notification écrite en cas de :

- Violation substantielle par l’autre partie de ses obligations qui pourrait être qualifiée de faute lourde ou intentionnelle,

- Circonstances exceptionnelles indépendantes de la volonté des Parties, qui rendent la continuation du présent contrat impossible,

Constat que l’autre partie n’a pas remédié à toute autre violation de ses obligations, après un préavis écrit de trente (30) jours donné pour remédier à cette violation.

12.3. The termination of this contract for any reason shall not affect:

- Either party’s accrued rights, remedies or liabilities including payments due at the effective date of termination; or

- The coming into force or the continuance in force of any provision of this contract which is expressly or by implication intended to come into or continue in force on or after termination.

La résiliation du présent contrat pour une raison quelconque ne porte pas atteinte :

- À l’ensemble des droits acquis, aux recours ou aux obligations des Parties, y compris aux paiements dus à la date effective de résiliation;

- À l’entrée en vigueur ou au maintien en vigueur d’une clause du présent contrat qui est expressément ou implicitement destinée à entrer ou à demeurer en vigueur au moment de ou après la résiliation.

Article 13. Consequences of termination

13.1. The following provisions shall take effect upon the termination of this agreement for any reason.

Les dispositions prévues ci-après prennent effet en cas de résiliation du contrat pour une raison quelconque.

13.2. The Distributor shall within thirty (30) days send to the Supplier all samples of the Goods (defined under Article 2.3 of present contract) and any advertising, promotional or sales material relating to the Goods then in the possession of the Distributor.

Le Distributeur renvoie, dans un délai de trente (30) jours au Fournisseur tous les échantillons (définis par L’article 2.3 du présent contrat) et toutes les documentations relatives à la publicité, à la promotion et aux soldes concernant les Marchandises qui sont encore entre les mains du Distributeur.

The Supplier shall refund the charges engaged by the distributor regarding to return the samples of Goods to the Supplier. The refund should be made upon receipt of the corresponding invoice of transport.

Le Fournisseur remboursera les frais engagés par le distributeur concernant le retour des échantillons de Marchandises au Fournisseur. Le remboursement devra être effectué à la réception de la facture de transport correspondante.

13.3. The Distributor shall cease to promote, market or advertise the Goods or to make any use of the Trademarks or any other Intellectual Property of the Supplier.

Le Distributeur cesse la promotion, la commercialisation, la publicité des Marchandises ou toute utilisation des marques ou de toute autre propriété intellectuelle du Fournisseur.

13.4. The Distributor shall not sell the sample of Goods provided by the Supplier, if the Distributor sells the sample of Goods, the supplier is entitled to request the compensation from the distributor which correspond to the market price of the Goods.

Le Distributeur ne doit pas vendre les échantillons fournis par le Fournisseur, si le Distributeur les vend, le fournisseur peut lui demander la compensation qui correspond au prix du marché des Marchandises.

Article 14. Force majeure

For majeure

14.1. Force majeure” means war, emergency, accident, fire, earthquake, flood, storm, industrial strike or other impediment which the affected party proves was beyond its control and that it could not reasonably be expected to have taken the impediment into account at the time of the conclusion of this contract or to have avoided or overcome it or its consequences

On entend par “force majeure” des événements tels une guerre, une situation d’urgence, un accident, un incendie, un tremblement de terre, une inondation, une tempête, une grève ou tout autre événement dont la partie empêchée prouve qu’il échappait à son contrôle et que l’on ne pouvait raisonnablement pas s’attendre à ce qu’elle le prenne en considération au moment de la conclusion du contrat ou qu’elle en prévienne ou en surmonte les conséquences.

14.2. A party affected by force majeure shall not be deemed to be in breach of this contract, or otherwise be liable to the other, by reason of any delay in performance, or the non-performance, of any of its obligations under this contract to the extent that the delay or non-performance is due to any force majeure of which it has notified the other party in accordance with Article 14.3. The time for performance of that obligation shall be extended accordingly, subject to Article 14.4.

Une partie ne viole pas le présent contrat lorsqu’elle est empêchée par la force majeure et elle n’est pas responsable envers l’autre partie du retard d’exécution ou de l’inexécution de ses obligations nées du présent contrat quand le retard ou l’inexécution est dû à une force majeure dont elle a informé l’autre partie conformément aux dispositions de l’article 14.3. Le délai d’exécution de l’obligation sera prolongé en conséquence sous réserve de l’article 14.4.

14.3. If any force majeure occurs in relation to either party which affects or is likely to affect the performance of any of its obligations under this contract, it shall notify the other party within a reasonable time as to the nature and extent of the circumstances in question and their effect on its ability to perform.

Si un cas de force majeure s’est produit empêchant ou étant susceptible d’empêcher l’une des parties d’exécuter ses obligations nées du présent contrat, la partie empêchée informera, dans un délai raisonnable, l’autre partie de la nature de ces circonstances et de leurs conséquences sur son aptitude à exécuter ses obligations.

14.4. If the performance by either party of any of its obligations under this contract is prevented or delayed by force majeure for a continuous period in excess of three months, the other party shall be entitled to terminate this contract by giving written notice to the party affected by the force majeure.

Si l’exécution par une partie de ses obligations nées du présent contrat est empêchée ou retardée par la force majeure, pour une période continue de plus de trois [3] mois, l’autre partie pourra résilier le présent contrat en le notifiant par écrit à la partie empêchée par la force majeure

Article 15. Effect of invalid or unenforceable provisions

Effet des clauses nulles ou inapplicables

If any provision of this contract is held by any court or other competent authority to be invalid or unenforceable in whole or in part, this contract shall continue to be valid as to its other provisions and the remainder of the affected provision, unless it can be concluded from the circumstances that, in the absence of the provision found to be null and void, the Parties would not have concluded this contract. The Parties shall use all reasonable efforts to replace all provisions found to be null and void by provisions that are valid under the applicable law and come closest to their original intention.

Si une clause quelconque du présent contrat est déclarée nulle ou inapplicable, en totalité ou partiellement, par un tribunal ou une autre autorité compétente, le présent contrat conserve sa validité pour ses autres stipulations et pour la clause invalidée partiellement, sauf si l’on peut conclure que vu les circonstances (en l’absence de la clause jugée nulle et non avenue), les Parties n’auraient pas conclu le présent contrat. Les Parties font tous leurs efforts raisonnables pour remplacer toutes les stipulations jugées nulles par des clauses qui respectent le droit applicable et qui se rapprochent de la volonté originelle des Parties

Article 16. Dispute resolution procedure

All disputes arising from or in connection with of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation within 2 months, the case shall then be submitted for arbitration to “The Arbitration of International Chamber of Commerce” in Paris All disputes arising from or in connection with this contract shall be settled definitively in accordance with the Arbitration Rules of the International Chamber of Commerce by one arbitrator appointed in accordance with these Rules. The arbitration shall be conducted in French and under French Law.

Article 17. Applicable law

Droit applicable

French law shall be applied to the contract.

Le droit français est applicable au présent contrat.

Article 18. Language

18.1. The parties expressly agree that only the French version of the Agreement is binding and shall prevail.

Les parties reconnaissent expressément que la version française du présent Contrat a valeur d'engagement et prévaudra.

18.2. The Agreement is printed in two original copies, signed on this page and initialed on each other page, one original copy being provided to each Party.

Fait en deux exemplaires originaux, signés sur cette page et paraphés sur chacune des autres pages, chaque Partie se voyant remettre un exemplaire original.
